THE ROADMAP
Eight steps toward investment readiness.
Each milestone is an action to complete, not a claim that incorporation or financing has already happened.
01FOUNDATION
Define the company and what it owns
Confirm the legal name, founders, initial board, ownership plans, intellectual-property assignments and which Living Systems belong to the business. Sanctuary stays separate. Make a clean inventory of domains, software, contracts and obligations.
Next action: Prepare a founder and asset inventory.
Planning
02TEXAS FORMATION
Form a Texas for-profit corporation
Confirm name availability, appoint a consenting Texas registered agent, identify initial directors, decide authorized shares with counsel, and submit Texas Certificate of Formation (Form 201). The state filing fee is $300, excluding optional service fees.
Next action: Use the Texas Secretary of State's official filing process.

03CORPORATE RECORDS
Organize the company properly
Adopt bylaws, document organizational board actions, issue and record founder stock with counsel, establish a capitalization table and vesting terms where appropriate, assign eligible intellectual property, and assess tax elections and founder securities filings.
Next action: Engage a startup attorney and CPA before equity issuance.

04FINANCIAL SETUP
Get an EIN and establish banking
Apply for an EIN through the IRS for free after formation, open a corporate bank account, set up bookkeeping, budgets, reporting, and review Texas franchise-tax and public-information requirements.
Next action: Keep founder and corporate finances separate.

05PROOF
Build an investor-grade evidence room
Show tested product demonstrations, a clear customer problem, pricing, operating costs, ownership of code, defensible claims, security posture, adoption and revenue metrics when available. Preserve the live Investor View without representing development progress as traction.
Next action: Create a focused lead-product narrative and a 12–18 month budget.
Portfolio evidence available
06CAPITAL STRATEGY
Choose the right capital partner
Evaluate a startup studio or venture builder, strategic operating partner, accelerator, angel syndicate, and equity financing. Compare operating help, milestones, capital committed, governance, dilution and founder control—not merely headline valuation.
Next action: Prioritize partners who bring execution and go-to-market support.

07LEGAL FUNDRAISE
Structure outreach and any securities offering
Have securities counsel select an applicable exemption before making investment offers. Rule 506(b) generally prohibits general solicitation; Rule 506(c) permits it only with accredited-investor verification and other requirements. File required notices when applicable. This public roadmap is not an offer of securities.
Next action: Do not publish investment terms or accept funds before legal review.

08EXECUTION
Close, deploy and report
If funding is secured, finalize board-approved agreements, document capital received, allocate spending by milestones, recruit execution support and give partners accurate operating updates. Continue publishing the portfolio's verified build status.
Next action: Measure shipped products, customer adoption and cash runway.
